Introduction

By accessing or using Pharmacy Audit Pro (“we,” “our,” or “us”), you agree to these Terms & Conditions (“Terms”). If you are using our services on behalf of a pharmacy or healthcare entity, you represent that you are authorized to bind that entity to these Terms.

1. Services Provided

Pharmacy Audit Pro provides tools for billing review, compliance checks, and audit readiness. We do not provide medical, legal, or financial advice. Our software is intended as a support tool and should not replace professional judgment.

2. HIPAA & Business Associate Obligations

• We act as a Business Associate under HIPAA when handling PHI.
• A Business Associate Agreement (BAA) must be executed with Covered Entities prior to processing PHI.
• We will use and disclose PHI only as permitted under HIPAA and the BAA.

3. User Responsibilities

You agree to:

• Ensure that any PHI uploaded is done in compliance with HIPAA and other applicable laws.
• Maintain access controls and confidentiality of login credentials.
• Immediately notify us of any unauthorized use or breach of your account.

4. Acceptable Use

You may not:

• Upload or share PHI without proper authorization from the Covered Entity.
• Attempt to reverse engineer, copy, or exploit our software.
• Use the service for unlawful or fraudulent purposes.

5. Data Security

We implement safeguards to protect PHI and personal data, including encryption, access controls, and secure hosting. However, no system is 100% secure, and we disclaim liability for breaches beyond our reasonable control.

6. Intellectual Property

All software, branding, and materials remain the property of Pharmacy Audit Pro. You receive a limited, non-transferable license to use the software for your pharmacy’s audit purposes.

7. Payment & Subscription

• Paid plans are billed on a subscription basis.
• Fees are non-refundable unless required by law.
• We reserve the right to adjust pricing with notice.

8. Limitation of Liability

To the fullest extent permitted by law:
• We are not liable for incidental, indirect, or consequential damages.
• We are not responsible for audit outcomes or penalties; our software is a tool, not a guarantee of compliance.

9. Termination

We may suspend or terminate access if you violate these Terms or the BAA. Upon termination, PHI will be securely deleted or returned at your request.

10. Governing Law

These Terms are governed by the laws of New York, USA. Disputes will be resolved in the courts of that jurisdiction.

11. Updates

We may update these Terms periodically. Continued use of our services constitutes acceptance of revised Terms.
